Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and search-router.com governing your access to and use of the website, APIs, dashboards, tools, models, routing features, search features, extraction features, and related services provided by search-router.com ("Search Router," "we," "us," or "our") (collectively, the "Services").

By accessing the website, creating an account, clicking to accept, executing an order form, obtaining an API key, or otherwise accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. Any use of the website or Services constitutes full and unconditional acceptance of these Terms.

If you do not agree to these Terms, you must not access or use the website or any Services.

If you use the Services on behalf of an organization, you represent and warrant that you have full authority to bind that organization to these Terms, and in that case, "you" includes that organization.

2. Public Offer

These Terms constitute a public offer for the provision of access to and use of the Services. Acceptance of this offer is effected by any actual access to, browsing of, connection to, or use of the website or Services, in whole or in part. From the moment of such access or use, these Terms shall be deemed accepted in full without any reservations.

For the avoidance of doubt, acceptance of these Terms occurs regardless of whether you register an account, receive free credits, obtain trial access, use unpaid functionality, or use paid Services.

3. Eligibility

You must be legally able to enter into a binding contract to use the Services. If you are using the Services for a company or other entity, you are responsible for your authorized users and their compliance with these Terms.

4. The Services

The Services may include:

  1. API-based routing of search or retrieval requests across third-party or first-party providers;
  2. Search, extraction, crawling, ranking, summarization, or related features;
  3. Dashboards, documentation, analytics, usage reporting, and support tools.

We may update, modify, add, restrict, or discontinue features from time to time at our sole discretion.

5. Account, Credentials, and Security

You may need to create an account and maintain API keys, tokens, or other credentials. You must:

  1. Provide accurate and current registration information;
  2. Keep credentials confidential;
  3. Promptly notify us of any unauthorized access or suspected compromise;
  4. Ensure that each credential is used only as permitted by us.

You are responsible for all activity occurring under your account or credentials.

6. License to Use the Services

Subject to these Terms, the applicable documentation, and payment of all fees if applicable, search-router.com grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable subscription term or service period, solely as permitted by these Terms.

7. Usage Limits, Credits, and Free Credits

Your use of the Services may be subject to usage caps, rate limits, credit limits, concurrency limits, feature limits, or other technical or commercial restrictions stated in the dashboard, pricing page, documentation, or order form. You may not circumvent such limits.

We may issue promotional, trial, bonus, referral, complimentary, or other free credits ("Free Credits"). All Free Credits are granted at our sole discretion, have no cash value, are non-transferable, may expire, and may be reduced, suspended, revoked, or canceled at any time, with or without notice, for any reason or no reason.

We reserve the right, at any time and in our sole discretion, to:

  1. Discontinue free credit top-ups;
  2. Modify eligibility rules for receiving Free Credits;
  3. Deny future free balance replenishment;
  4. Require you to migrate to or purchase a paid plan in order to continue accessing all or part of the Services.

We may throttle, suspend, or restrict traffic that threatens the security, availability, integrity, economics, or fair use of the Services.

8. Customer Input and Output

"Customer Input" means prompts, queries, URLs, text, metadata, configurations, code, files, or other materials submitted by or for you to the Services.

"Output" means results, responses, retrieved materials, summaries, rankings, metadata, or other content returned by the Services.

As between you and Search Router, and subject to applicable law and third-party rights, you retain your rights in Customer Input.

You acknowledge and agree that search-router.com may collect, store, copy, modify, analyze, reproduce, distribute, disclose, transfer, share with third parties, and otherwise use Customer Input, Output, and related usage data for any lawful business purpose, including but not limited to:

  1. Providing, operating, maintaining, and improving the Services;
  2. Monitoring abuse, fraud, security incidents, and policy violations;
  3. Analytics, research, testing, and product development;
  4. Training, fine-tuning, evaluating, and improving machine learning or artificial intelligence models and systems;
  5. Sharing data with affiliates, contractors, subprocessors, partners, model providers, infrastructure providers, analytics providers, and other third parties;
  6. Compliance with law, regulation, legal process, and lawful requests.

You represent and warrant that you have all rights, consents, and permissions necessary to submit Customer Input and to grant the rights described in these Terms.

We do not guarantee that Output will be unique, accurate, complete, or exclusive to you.

9. Third-Party Providers and Third-Party Content

The Services may route requests to, interoperate with, or rely on third-party search engines, model providers, data providers, websites, crawlers, hosting providers, and other external services.

Search Router does not own third-party websites or third-party content returned through the Services. Your use of third-party content may be subject to separate terms, licenses, robots directives, contractual restrictions, or applicable law. You are responsible for evaluating whether you may store, reproduce, republish, scrape, index, or otherwise use third-party content.

We are not responsible for outages, inaccuracies, delays, filtering decisions, deprecations, or policy changes of third-party providers.

10. Acceptable Use Restrictions

You may not, and may not permit others to:

  1. Resell, sublicense, lease, or provide unauthorized access to the Services;
  2. Reverse engineer, decompile, or attempt to discover source code, models, ranking methods, prompts, or non-public system logic;
  3. Use the Services to build or benchmark a competing service, except to the extent such restriction is prohibited by law;
  4. Interfere with or disrupt the Services, including by bypassing rate limits or security controls;
  5. Introduce malware, harmful code, or abusive traffic;
  6. Use the Services in violation of law, intellectual property rights, privacy rights, or contractual restrictions;
  7. Submit content you do not have the right to submit;
  8. Use the Services to facilitate spam, phishing, fraud, harassment, illegal scraping, or other harmful activity;
  9. Use any bot, script, emulator, macro, farm, exploit, automated workflow, or other non-human or semi-automated method to obtain, trigger, simulate, claim, farm, or increase Free Credits, promotional balance, referral rewards, or any other free replenishment mechanism;
  10. Create multiple accounts, fake identities, disposable accounts, or coordinated account networks for the purpose of obtaining additional Free Credits or evading limits;
  11. Manipulate events, referrals, traffic, UI actions, timers, or any technical process to gain credits or balance unfairly;
  12. Use automated means to perform free credit top-ups, which may only be performed by a real human manually through the interface or another method expressly authorized by us.

Any violation of this Section may result in immediate suspension or termination of your account, revocation of credits, and restriction from future access.

11. Compliance With Law

You will comply with all laws applicable to your use of the Services, including privacy, consumer protection, export controls, sanctions, intellectual property, and AI-specific regulations where applicable.

12. Fees, Billing, Taxes, and Paid Plans

If you use paid Services, you agree to pay all fees and applicable taxes. Unless otherwise stated:

  1. Fees are billed in advance or based on usage;
  2. Subscriptions renew automatically for successive terms unless canceled before renewal;
  3. Overages may be charged at then-current rates;
  4. Fees are non-refundable except where required by law or expressly stated otherwise;
  5. You authorize us and our payment processor to charge your payment method.

We may at any time, in our sole discretion, require you to upgrade to a paid version of the Services, or limit, suspend, or terminate access to free functionality, free credits, or unpaid usage tiers.

We may change pricing upon prior notice or by updating pricing on the Service. Updated pricing will apply prospectively unless otherwise permitted by law.

13. Suspension and Termination

We may suspend, restrict, or terminate your access immediately if:

  1. You breach these Terms;
  2. Your use creates security, legal, operational, financial, or abuse-related risk;
  3. Fees are overdue;
  4. We are required to do so by law or by a third-party provider;
  5. We determine that continued provision of free access or free credits is no longer commercially reasonable.

You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately, but provisions that by nature should survive will survive.

14. Intellectual Property

The Services, including software, documentation, branding, interfaces, and all related intellectual property rights, are owned by search-router.com or its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

15. Confidentiality

Each party receiving non-public information from the other party agrees to protect it using reasonable care and to use it only for purposes related to these Terms. This section does not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or rightfully received from a third party.

16. Privacy and Data Processing

Our Privacy Policy explains how we collect, use, disclose, and transfer personal information and service data. You acknowledge that the Services may involve the processing of Customer Input, Output, and related usage data by us and by third parties engaged by us.

17. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCH ROUTER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR THAT OUTPUT WILL BE COMPLETE, ERROR-FREE, CURRENT, OR SUITABLE FOR ANY PARTICULAR USE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. SEARCH ROUTER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; AND
  2. SEARCH ROUTER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO SEARCH ROUTER FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

19. Indemnification

You will defend, indemnify, and hold harmless Search Router and its affiliates, officers, directors, employees, and contractors from claims arising out of:

  1. Your Customer Input;
  2. Your use of Output;
  3. Your violation of these Terms or applicable law; or
  4. Your violation of any third-party rights.

20. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting updated Terms, emailing you, or notifying you through the Services. Continued use after the effective date of updated Terms constitutes acceptance.

21. Governing Law and Disputes

These Terms are governed by the laws of Dubai, United Arab Emirates, excluding conflict-of-laws rules. The courts located in Dubai, United Arab Emirates will have exclusive jurisdiction, unless we elect otherwise or applicable law requires otherwise.
